Notary SWFL Client Service Agreement

1. Agreement and Parties

This Client Service Agreement ("Agreement") is between Notary SWFL LLC ("Notary SWFL," "we," "us") and any client who places an order with us ("Client," "you"). It sets the terms for every remote online notarization (RON) and signing service we perform for you.

This Agreement applies to every order you or anyone at your organization places with us, whether by email, phone, text, or our booking page. If a specific order has different terms agreed in writing, those terms apply to that order only.

Notary SWFL is an independent contractor. We perform notarial acts impartially under Florida law (Chapter 117, Florida Statutes). We do not give legal, tax, or financial advice, and we do not draft, select, or explain the legal effect of your documents.

2. Services and Fee Schedule

Our standard rates are below. Any client-specific rate we have agreed with you in writing (for example, a volume or investor rate) replaces the standard rate for that service.

All fees shown are for signing agent, coordination, and platform services. Any fee for an online notarial act itself stays within the Florida limit of $25 per act under Section 117.275, Florida Statutes.

3. Scheduling, Documents, and Signer Requirements

Documents. Send final, ready-to-sign documents at least 4 hours before the appointment. Documents received later are subject to the rush fee.

Signer information. Each order must include every signer's full legal name, email, and phone number, plus any witness requirements.

Signer requirements. Each signer must have:

  • A current, unexpired government-issued photo ID that matches the name on the documents

  • A computer or mobile device with a working camera, microphone, and stable internet connection

  • The ability to complete two-factor identity verification required by Florida law: credential analysis of their ID, plus either knowledge-based authentication (KBA) or biometric verification

  • Availability at the scheduled time, alone in a private space if required by the documents

You are responsible for confirming the appointment with your signer and making sure they meet these requirements before the session.

Signer document review. Before scheduling, you must send the final documents to each signer and confirm they have reviewed them and are ready to sign. The session is for signing, not for a first read of the documents. Sessions that run long because the signer is reviewing documents for the first time, or because documents need correcting during the call, are subject to the extended session fee in Section 4.

4. Reschedules, Cancellations, and Failed Sessions

Free reschedule or cancellation: at least 4 hours before the scheduled appointment, by email to [email protected] or by phone.

No-show or late reschedule fee: $50. Applies to any no-show, reschedule, or cancellation within 4 hours of the scheduled appointment time.

Extended session fee: $25 per additional 30 minutes. Applies when a session runs longer than 1 hour for reasons on the client or signer side, such as a signer reviewing documents for the first time, documents needing correction during the call, or waiting on corrected documents to be resent.

Failed session fee: $50. Applies when a session cannot be completed for reasons on the client or signer side, including:

  • The signer does not join within 15 minutes of the start time (no-show)

  • The signer does not have acceptable, unexpired ID or fails identity verification

  • The signer cannot connect, loses connection and does not return, or lacks a working camera or microphone

  • Documents are missing, incomplete, or incorrect and the session cannot proceed

  • The signer is unwilling, appears to lack capacity, or appears to be under duress, and the notary declines to proceed

Each failed attempt is billed separately. A failed session fee is in addition to the service fee once the signing is completed.

No fee applies if Notary SWFL cancels, is late by more than 15 minutes, or the session fails because of our platform or our notary.

5. Invoicing and Payment

Payment is due on receipt of invoice. We invoice through QuickBooks after the signing is completed, or after a failed session or late cancellation.

  • Billing contact: Tell us in writing who receives invoices for your organization. If you change contacts, let us know before your next order.

  • Payment methods: the payment link on the QuickBooks invoice (card or bank transfer) is preferred. Checks are accepted but are our least preferred method.

  • Late payment: Invoices unpaid 15 days after the invoice date incur a late charge of 1.5% per month on the unpaid balance.

  • Returned payments: $30 per returned or reversed payment.

  • Past-due accounts: We may pause new orders until the balance is paid, and you agree to pay reasonable collection costs on unpaid balances.

  • Disputes: Questions about an invoice must be raised within 7 days of the invoice date.

6. Records, Refusal of Service, and General Terms

Records. We keep the electronic journal and session recordings for each online notarization as required by Florida law. Copies of recordings or journal entries are provided on written request, subject to the fee in Section 2 and any legal limits on disclosure.

Right to refuse. Our notary may decline or stop a notarization if the signer cannot be properly identified, appears to lack capacity or be under duress, or if the act would violate Florida law. The failed session fee applies in these cases.

Document content. You are responsible for the accuracy, completeness, and legal sufficiency of your documents. We do not guarantee that any recorder, court, lender, or other third party will accept a notarized document.

Limitation of liability. To the extent permitted by law, our total liability for any order is limited to the fees paid for that order. We are not liable for indirect or consequential damages.

Confidentiality. We treat your documents and signer information as confidential and use them only to complete your order.

Changes. We may update this Agreement or our fee schedule with at least 14 days' written notice. Orders placed after the effective date of an update follow the updated terms.

Governing law. This Agreement is governed by the laws of the State of Florida, with venue in Lee County, Florida.

7. Acceptance of Terms

No signature is required. By placing an order with Notary SWFL LLC, by any method (including our online order form, email, phone, or text), you accept this Agreement and the fee schedule in effect on the date of your order. These terms apply to all current and future orders unless we have agreed to different terms in writing for a specific order.
